Terms of Service

These Terms of Service ("Terms") govern your access to and use of VelvetPress, operated by Zackry Langford d/b/a CloudZack ("VelvetPress", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you agree to these Terms on its behalf.

This is a baseline agreement pending final legal review. Bracketed, highlighted items are placeholders to be completed before launch.

The Service

VelvetPress packages each push to your connected GitHub repositories into a release and distributes update manifests to the WordPress sites you connect, so those sites can offer the update from within wp-admin. Features, limits, and availability may change as the Service evolves.

Eligibility and accounts

You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for safeguarding your account credentials, GitHub authorization, and per-site API keys, and for all activity that occurs under your account.

Acceptable use

You agree not to:

• Use the Service to distribute malware, infringing material, or unlawful content.
• Attempt to gain unauthorized access to the Service, other accounts, or connected sites.
• Interfere with or disrupt the integrity or performance of the Service.
• Circumvent plan limits, usage quotas, or access controls.

Your content and license

You retain all rights to the plugins, themes, and other materials you upload or connect ("Your Content"). You grant us a non-exclusive, worldwide license to host, package, store, and distribute Your Content solely to operate the Service and deliver updates to the WordPress sites you connect. You represent that you have the rights necessary to grant this license.

Connected sites and end users

You are responsible for the WordPress sites you connect and for your relationships with their owners and end users, including ensuring you have the right to push updates to them. The Service delivers updates you publish; you are responsible for the content and effect of those updates.

Fees, billing, and subscriptions

Paid plans are billed through Stripe on a recurring basis until cancelled. By subscribing, you authorize us to charge the applicable fees to your payment method. Plan limits apply as described at the time of purchase. Fees are non-refundable: because the Service delivers digital goods, we do not provide refunds by default. We may, at our sole discretion, issue a refund for a verifiable issue such as a duplicate or erroneous charge. We may change pricing on a prospective basis with notice.

Third-party services

The Service integrates with third parties such as GitHub, Stripe, and Clerk. Your use of those services is governed by their own terms, and we are not responsible for their acts or omissions.

Intellectual property

The Service, including its software, design, and trademarks, is owned by VelvetPress and its licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our marks or branding except as needed to use the Service.

Service availability and changes

We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time. We are not liable for any unavailability of the Service or for updates delayed or not delivered to connected sites.

Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

Limitation of liability

To the maximum extent permitted by law, VelvetPress will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold VelvetPress harmless from any claims, damages, and expenses arising out of Your Content, your use of the Service, or your violation of these Terms.

Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Provisions that by their nature should survive termination will survive.

Governing law and disputes

These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict-of-laws rules. Any disputes will be resolved in the courts located in that jurisdiction, unless otherwise required by applicable law.

Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, notify you through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
